This Vendor Service Agreement("Agreement")is between QualiFy Company, anentity, with its registered office at 942,Krishna Nagar Colony Mau Road Sidhari Azamgarh, Uttar Pradesh-276001 ("QualiFy Company," "we," or "us"), and ______________, located at _____________________________ ("Vendor," "Service Provider," or "you"), collectively the "Parties."

1. Scope

a) We operate a Platform connecting Customers with Vendors for Pro Services like

  • Taxi Services
  • Aquarium and Aquaculture Services
  • Gardening Services
  • Cleaning Services
  • Packers and Movers Services
  • Online Booking, Marketing, and Trading of Items used in various services, Call Centers, and Customer Support
  • Agricultural, Horticultural, and Forestry Products, including live animals, fresh fruits and vegetables, seeds, natural plants, flowers, foods tuffs for animals, and malt

b) You agree to provide Pro Services as an independent contractor per this Agreement. - The Services to be provided shall be detailed in a Statement of work (“SOW”). No changes to any SOW will be effective unless and until a change order is executed by both Parties. In the event of any conflict between the terms of this Agreement and the SOW, the terms of this Agreement shall prevail, unless expressly stated by the Parties for that specific SOW, solely to the extent of such conflict.

2. Onboarding

a) Tick "Agree" during onboarding to accept this Agreement

b) Provide: legal name, address, contact details, GSTIN, PAN, service descriptions, and capacity.

3. Vendor Obligations

a) Deliver Pro Services per booking, adhering to "same day, same time" for local services.

c) Appoint a grievance officer to acknowledge complaints within 48 hours and resolve within 30 days.

d) Avoid unfair trade practices, mis representation, orsoliciting Customers independently.

e) Accept returns for specified items within 7 days if damage evidence is provided.

f) Maintain insurance and comply with applicable laws (e.g.,GST, labor laws).

4. QualiFy Company Obligations

a) Facilitate bookings, payments, and Customer support

b) Transfer payments (less fees) within 7 days via bank transfer

c) Provide Platform access and promotional support.

5. Fees and Payments

a) Commission: _______________________ per booking or fixed fee

b) Payments to _______________________,subject to tax deductions

6. Intellectual Property

a) You grant us a perpetual, royalty-free license to use your service content for Platform purposes.

b) You warrant no infringement of third-party rights.

7. Confidentiality

a) Protect Customer data and Platform in formation, using it only for Service delivery

b) The vendor shall strictly adhere to privacy policy of the Company and shall not under any circumstance, whatsoever, do any act in violation of such privacy policy.

8. Termination

a) This agreement may be terminated by either Party, without cause and without liability, by giving 30 days prior written notice.

b) In addition, the company shall also have the right to terminate this Agreement with immediate effect in the event of material breach of the terms and conditions of this agreement, gross negligence, legal violations. reputational harm or wilful misconduct by the other Party.

c) Upon effective date of termination of this Agreement, all legal obligations, rights, and duties of the Parties arising out of this Agreement shall terminate and outstanding payment, if any, shall be settled.

9. Liability and Indemnity

a) You are liable for ProService quality and damages caused

b) Our liability is limited to commission earned, capped at INR 10,000

c) You indemnify us against claims a rising from you ractions or breaches

10. Governing Laws Dispute Resolution

a) This agreement and all rules, policies and documents incorporated by reference shall be governed and construed in accordance with the laws of India and the courts in Azamgarh, Uttar Pradesh, India shall have exclusive jurisdiction without any conflict of law.

b) The parties mandatorily try and settle any dispute arising out of or in connection with this agreement, including any question regarding its existence, validity, or termination (a “Dispute”) amicably

c) If the parties are unable to resolve the Dispute amicably within a period of 30 (Thirty) days from the date of such reference, the Dispute shall be referred to sole arbitrator as appointed by the jurisdictional court.

d) The arbitration shall be carried out in accordance with the provisions of the Arbitration and Conciliation Act, 1996, amended up to date.

e) The language of the arbitration shall be English and the seat of the Arbitration shall be Azamgarh, Uttar Pradesh

11. Compliance

a) Adhere to the Consumer Protection (E-Commerce) Rules, 2020, and other applicable laws.

  • Operational Clarity: Details "sameday, same time" delivery, return conditions (video / photo evidence), and dual delivery options.
  • Vendor Control: Prohibits independent solicitation, ensures compliance, and mandates grievance officers.
  • Consumer Protection: Offers clear refund processes, grievance mechanisms, and data security assurances.
